These Terms of Service ("Terms") govern your access to and use of the software products, applications, APIs, integrations, plugins, workflow automations, and related software offerings (collectively, the "Products") made available by Aionic Digital, Inc. ("Aionic," "we," "our," or "us"), whether provided directly through Aionic or through an authorized third-party marketplace or platform.
By accessing, installing, downloading, subscribing to, or otherwise using any Product, you agree to these Terms. If you are using a Product on behalf of a company or other legal entity, you represent that you have the authority to accept these Terms on its behalf. If you do not agree to these Terms, you must not use the Products.
These Terms apply only to Aionic's software Products. Professional services, consulting engagements, implementation services, and other services provided under a separate written agreement are governed by the terms of that agreement. If a Product is licensed or provided as part of a separate written agreement with Aionic, the terms of that agreement will control to the extent of any conflict with these Terms.
1.0 acceptance and scope
These Terms apply to all software Products published, distributed, licensed, or otherwise made available by Aionic, including Products provided through our website, customer portals, authorized third-party marketplaces, software platforms, or future offerings that reference these Terms.
Certain Products may include additional product-specific terms or documentation. Those supplemental terms apply only to the applicable Product and will control only if they conflict with these Terms.
Current Product-Specific Terms
2.0 use of the Products
Subject to these Terms, Aionic grants you a limited, non-exclusive, non-transferable, revocable license to use the applicable Products for your internal business purposes.
You agree to use the Products only in compliance with applicable laws and these Terms. You may not:
copy, modify, or distribute the Products except as expressly permitted;
reverse engineer, decompile, or attempt to derive the source code of the Products;
use the Products to violate any law or infringe the rights of others;
interfere with security, integrity, or operation of the Products; or
use the Products in any manner intended to abuse, disrupt, or impair their operation.
Where a Product connects to third-party systems or services, you are responsible for maintaining your own accounts, credentials, API keys, and permissions.
Some Products may include automation or artificial intelligence features. You acknowledge that the Products are intended as tools to assist your business processes and are not guaranteed to be error free, uninterrupted, or suitable for any particular purpose. You are solely responsible for reviewing and validating any information, recommendations, or outputs generated by the Products before relying on them or sharing them externally. Any information or content generated through these features should be reviewed before being relied upon for business, operational, or customer-facing purposes.
3.0 third-party services
Many Products rely on or integrate with third-party platforms, software, or services. Your use of those services is governed by their respective terms and policies.
Aionic is not responsible for the availability, security, functionality, or performance of third-party services, nor the changes made by third-party providers that may affect the operation of our Products.
4.0 intellectual property
The Products, including their software, documentation, design, branding, and related intellectual property, are owned by Aionic or its licensor and are protected by applicable intellectual property laws.
These Terms grant you only the limited right to use the Products as expressly described above. All rights not expressly granted are reserved by Aionic.
5.0 availability, fees, & changes
We may update, modify, suspend, discontinue, or improve any Product at any time.
Some Products are offered free of charge, while others may require payment. Any applicable pricing or subscription terms will be provided with the relevant Product.
We may update these Terms from time to time. Continued use of a Product after revised Terms become effective constitutes acceptance of the updated Terms.
6.0 disclaimer & limitation of liability
The products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the products will operate without interruption or error.
To the maximum extent permitted by law, aionic shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity arising from or related to your use of the products. Aionic's total liability for any claim arising out of or relating to the products shall not exceed one hundred u.s. dollars (US $100).
7.0 termination
Unless otherwise provided in a separate written agreement with Aionic, you may stop using the Products at any time. Aionic may suspend or terminate your access to any Product if you violate these Terms or if continued access could aversely affect Aionic, the Product, or other users. Sections relating to intellectual property, disclaimers, limitation of liability, governing law, and any provisions that by their nature should survive termination will remain in effect following termination.
7.0 governing law & contact
These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Montgomery County, Maryland, and you consent to their jurisdiction.
